This End User License Agreement ("EULA") is a legal agreement between you ("User") and 2633134 Alberta Inc. ("SpaGen", "we", "our", or "us") governing your use of the SpaGen mobile application and related software (collectively, the "App"). By installing or using the App, you agree to the terms of this EULA.
1. License Grant
Subject to your compliance with this EULA, SpaGen grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, solely for managing your registered SpaGen hardware and spa equipment.
2. Restrictions
You may not:
- Copy, modify, or distribute the App or any portion of it
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
- Rent, lease, lend, sell, or sublicense the App to any third party
- Use the App for any unlawful purpose or in violation of any applicable laws or regulations
- Remove, alter, or obscure any proprietary notices (including copyright notices) on the App
- Use the App to develop a competing product or service
3. Ownership
The App and all intellectual property rights therein are and remain the exclusive property of 2633134 Alberta Inc. and its licensors. This EULA does not grant you any rights to trademarks, service marks, or other branding elements of SpaGen.
4. Updates
SpaGen may provide updates, patches, or new versions of the App from time to time. Such updates may be required for continued use of the App or connected hardware. Your continued use of the App following an update constitutes acceptance of any revised terms.
5. Data Collection
The App collects and transmits data necessary to operate the SpaGen service, including spa sensor readings, device status, and usage information. This data is handled in accordance with our Privacy Policy.
6. Third-Party Services
The App may use third-party services (such as push notification providers) subject to their own terms and privacy policies. SpaGen is not responsible for the practices of these third-party services.
7. Disclaimer of Warranties
The App is provided "as is" without warranty of any kind. SpaGen makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Automated control of spa equipment is a convenience feature — you remain fully responsible for the safe operation of your equipment at all times.
8. Limitation of Liability
To the maximum extent permitted by law, SpaGen shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the App. Our total liability for any claim shall not exceed the amount you paid to SpaGen in the twelve (12) months preceding the claim.
9. Termination
This licence is effective until terminated. It will terminate automatically if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the App and delete all copies from your devices. SpaGen may also terminate or suspend your access to the App at any time for violation of these terms.
10. Governing Law
This EULA is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Alberta.
